Alvarez and Marsal’s Corporate Merger & Acquisition Services (CMAS) practice brings a structured and disciplined approach to create and capture value throughout the M&A deal cycle. Job Description

We are looking for seasoned professionals with experience in M&A transactionsThe ideal candidate will have a background in one or more of the following areas:

  • Operational due diligence (ODD)
  • Merger and acquisition integration planning and execution
  • Divestiture and carve-out planning and execution
  • Synergy development, planning, and execution

Key Responsibilities

  • Lead and deliver ODD engagements including:
    • Identify deal risks and develop mitigating action plans
    • Define the end state operating model and high-level steps to achieve it
    • Identify and quantify top-down synergies, dis-synergies, and cost to achieve
  • Manage the Integration Management Office (IMO) or Separation Management Office (SMO), a focus area within the IMO/SMO or a functional workstream including:
    • Development of integration/separation roadmaps
    • Transition Service Agreement (TSA) scoping and management
    • Business process blueprinting
    • Day 1 readiness / 100 Day planning
    • Synergy development and analysis
    • Executive reporting
  • Plan, execute, and drive performance improvement in a M&A environment in one or more of the following areas:
    • Operational optimization / consolidation
    • G&A consolidation
    • Supply chain
    • IT / reporting integration
    • Customer and channel management
  • Lead and deliver large, complex client engagements that identify, design, and implement creative business and technology solutions
  • Effectively manage teams and day-to-day relationships to ensure exceptional performance and quality deliverables
  • Identify opportunities to involve other A&M business units to drive greater value for our clients
  • Business Development:  Participate in the development and presentation of proposals for new business activities
  • Practice Development:  Develop “thought-ware” and point-of-view documents.  Participate in CMAS internal initiatives
  • People Development:  Perform role of coach, provide input, and actively participate in the recruiting process

Qualifications and Skills

  • 5-20 years of relevant professional consulting and / or operational experience, specializing in operational due diligence, merger integration, divestitures/ carve-outs, and synergy capture and analysis
  • Bachelor’s degree required, MBA a plus
  • Demonstrated program management and leadership of complex initiatives / projects
  • Experience in leading more than one work stream in a transaction
  • Ability to work in a fast-paced environment and operate under ambiguity
  • Fundamental understanding of the Change Management function and its importance in the M&A life cycle, including communications and organization design
  • Ability to communicate confidently in a clear, concise, and articulate manner - verbally and in written form
  • Ability to apply critical thinking to bring order to unstructured problems
  • Experience with financial model and scenario planning
  • Flexibility to travel at least 75% of the time

The following are the annual base salary ranges, commensurate with experience: Consultant: $90,000-$135,000; Manager: $135,000-$165,000; Director: $150,000-$205,000; Senior Director: $175,000-$245,000. In addition, A&M offers a discretionary bonus program which is based on a number of factors, including individual and firm performance.  Please ask your recruiter for details.
