The M&A Transformation team provides clients with pre- and post- acquisition M&A advice, post-merger integration, carve-out, capital structure changes (incl. spinoff), shareholder value release and shareholder activism. The team brings unrivalled experience from both in-industry leadership roles and advisory roles and works hand-in-hand with sector experts in related A&M expert practices, such as Restructuring, Transactions Advisory and Private Equity Performance Improvement as one team for clients.

Our team of senior professionals have not just capabilities as advisors but in many cases also senior level executives in operational roles. The Opportunity - Director

You will be based out of London or Paris but be part of the pan-EMEA M&A Transformation team. Working closely with our senior leadership, you will support Boards and cSuite management with their M&A and strategic business portfolio transformation agenda. Working alongside Investment Bankers and Corporate/M&A Lawyers, you will be a performance-driven Value Creation voice in these discussions and bring the necessary operational and financial skillsets. Your role will focus on several of the following areas:

  • Board agenda priorities management, strategic capital allocation for sustainable growth,
  • Value creation insights and levers (incl. revenue enhancement, cost optimization, risk avoidance, profitability expansion, asset portfolio review and operational improvements),
  • Corporate transformation programmes (incl. measuring organizational readiness, applying value-based thinking to deepen competitive advantage)
  • Buy-side and sell-side carve-out leadership to clients and project teams, evaluating the pre-deal carve-out situation, carve-out entanglements, costs and risks, leading implementation of a carve-out, including preparation for Day-1, TSA management, TSA exit planning, and transition to the standalone,
  • Pre- and post-deal M&A integration initiatives incl. synergies capture planning, integration model development, Integration/Result Management Office structure and lead, integration roadmap design and execution.

We are looking for senior managers and operators who are not afraid to roll up their sleeves and lead the change agenda within the M&A and Value Creation arena. As a Director, you will be responsible for shaping and leading change and transformation for the client. You will not only play a role as a M&A Transformation expert for clients but also will have the opportunity to directly lead or grow-to-lead projects across Corporate, Private Equity and Restructuring situations.

The Requirements

We are looking for candidates with several of the following attributes:

  • Demonstrable leadership on large-scale projects including but not limited to merger integrations, carve-outs, value creation, portfolio reviews
  • Analytical rigour, preferably with financial and / or diligence experience
  • Broad operational experience across industry combined with advisory experience from a leading professional services firm or a Private Equity or an Investment bank
  • Proven record of delivering state-of-the-art solutions in evolving sectors
  • A tight grasp on current business trends (e.g., shareholder activism, ESG, consumer trends)
  • Clear determination to deliver the latest thinking in a highly competitive advisory marketplace
  • Capacity to thrive in a fast-paced, challenging, and unpredictable environment
  • Fluency in English/French is essential and, fluency in German or Spanish are a plus
  • Experience of living and working in Europe
  • 2.1 or equivalent from accredited university or Grande Ecole; MBA valued

In addition, successful candidates at Director level offer the following:

  • Building a robust yet flexible plan to generate deal flow and sustained repeat business, externally and internally.
  • Assimilating and leveraging existing capability within Corporate Transformation Services, Private Equity Performance Improvement and Restructuring.
  • Senior Level experiences with the blend of industry and advisory experiences with proven track record in delivering changes and results
  • A professional network in Europe in some of the following sectors: Industrials, Aerospace + Defence, Retail + Consumer, Hotel + Hospitality, Media + Entertainment or Healthcare + Life Sciences.

Soft Skills

  • Strong facilitation skills, forging consensus around credible, executable solutions.
  • Excellent written and oral communications skills, confident presenter.
  • Objective, fact-based approach to problem solving.
  • Hands-on and non-hierarchical operator who is equally effective in managing up and down and relates well at all levels and cultures.
  • Driven by values and integrity, talks straight, builds confidence and leads by example.
  • The ability to manage a multiple stakeholder environment.
