Alvarez & Marsal Global Transaction Tax team is expanding to Australia! This is a once-in-a-career opportunity to get in at the very beginning and help build our business. A&M's Global Transaction Tax team is composed of seasoned tax professionals experienced in providing practical tax advice to corporate and private equity buyers throughout the transaction life cycle. You will partner with the firm's Transaction Advisory Group and Performance Improvement practice to deliver a truly integrated solution to clients. By utilising an integrated approach with A&M professionals with deep operating and financial-related experience, the team uses a focused and tailored approach to rapidly identify and understand potential deal breakers, value drivers and other areas of specific interest to our clients. Our professionals have significant experience on both the buy and sell side of transactions across all industries including healthcare, financial institutions, energy, environmental services, technology, and education.

Responsibilities

  • Manage tax due diligence projects, helping to identify key tax risks and potential deal breakers, and tax structuring for the potential transaction in the context of their clients’ investment strategy
  • Analyse detailed tax computations and other tax documents to convert the data into meaningful information that is used to drive discussions with target management and drive observations and conclusions
  • Assess the quality of the target company's tax management function and compliance
  • Manage the preparation of tax due diligence and tax structuring reports and presentations for clients that highlight the key tax findings and supporting analysis
  • Assist the team in further articulating how such findings should be incorporated into the client's valuation and sale / purchase agreement.
  • Manage various tax advisory assignments, including but not limited to, fund structuring advice, legal entity and operational restructuring
  • Review and comment on tax aspects of financial models
  • Assist with business development efforts such as preparing marketing materials, participating in meetings with clients and proposals
  • Participate in and lead meetings and conference calls with target company management and with client personnel and serve as an additional point of contact for client personnel with respect to day-to-day execution matters
  • Ability to manage multiple chargeable and non-chargeable projects of varying size and complexity

Qualifications:

  • Bachelor's or master's degree in law, accounting, science, IT and/or related major
  • Big Four experience required
  • Strong M&A tax / international tax / corporate tax advisory experience
  • Strong technical knowledge of Australian corporate income tax laws
