Carve-out Practice

A&Ms deep operational capabilities combined with our global, regional and local private capital fund relationships provides an unparalleled platform for carve-out and separation management for investors and companies.

We operate beyond the desktop and in the field, helping our clients on both the buy and sell-side to successfully carve-out businesses, units or brands or separate to rationalise or monetise portfolio assets.

With strong credentials across the region and globally, we seek to bolster our leadership capabilities to support demand for our carve-out services.

Key Responsibilities

  • Develop new business opportunities through a thorough clarity in carve-out process and bringing to life and leveraging A&M’s distinctive capabilities
  • Creating compelling carve-out plans to demonstrate clear value and differentiation for A&M services/right to win
  • Creatively identifying carve-out or portfolio strategies for investors or holders
  • Leading carve-out assessments to identify risks, cost base adjustments with clear alignment to lean and considered future state operating models

Accurate assessment of synergies and carve-out costs

  • Design and stand-up of transitional service agreements
  • IT landscape assessment and high level design of future landscapes
  • Financial assessment of standalone cost base and one-off separation costs
  • Risk assessments and dependency mapping of complex carve-out engagements
  • Executing carve-out & PMI programs for clients with a deep level of operational experience and hands-on support
  • Identifying levers for value creation with an out-of-the-box mindset
  • Maintain a strong ecosystem of partners for carve-out execution

Experience

  • Leadership and depth of exposure to multiple carve-out or separation projects
  • 5+ years in M&A experience across a variety of sectors
  • Operating model design experience across multiple sectors
  • Transitional service agreement design in multiple transactions
  • Previous experiences in high level IT application and dependencies
  • Financial analysis of cost base and one-off separation costs
  • Risk assessments and dependency mapping of complex carve-out engagements
  • 5+ years operator experience across multiple industries
