Job Description:
Work with the Global Transaction Tax team to provide practical tax advice to corporate and private equity buyers and sellers throughout the transaction life cycle. Develop and deliver quality tax planning approaches by providing timely and responsive services and work product that meets and exceed client expectations. Perform due diligence, including review of tax returns, financials, and other documentation to evaluate potential tax risks and opportunities. Review and comment on tax aspects of financial models, purchase agreements, and structuring calculations. Take ownership of assigned workstreams, including creating and preserving relevant diligence work products, ensuring supervisors can timely review and provide constructive feedback of deliverables, and otherwise proactively responding to changes in workflow. Coordinate with federal and international tax team members, as well as financial and operational due diligence team members, to timely deliver highest quality integrated work product. Work on developing and managing client relationships by communicating and responding to client expectations, gathering data relevant to the engagement, and tailoring project deliverables accordingly.
Minimum Requirements:
LL.M. or Master's or [foreign equivalent] in Taxation or Tax Track and minimum 2 years of experience in any occupation involving tax advisory for international corporate reorganizations & M&A. Experience must include: advising domestic and foreign companies on transactions involving cross border and domestic corporate reorganizations, M&A, and international tax structuring and compliance; performing tax due diligence to assess potential risks including analyzing target’s historic tax profile, planning, tax examination, acquisition/disposition and filing history; structuring transactions; evaluating tax attributes; analyzing tax aspects of financial models and purchase agreements; modeling transaction scenarios; performing accounting and financial reporting; and drafting memoranda on international tax matters.
